Acceptance of terms
These Terms of Service ("Terms") are a legally binding agreement between you (the individual or entity accessing the Service) and People Plan, Inc. ("People Plan," "we," "us," or "our") governing your use of the People Plan workforce transition platform, including all associated software, tools, documentation, and services (collectively, the "Service").
By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.
If you do not agree to these Terms, do not access or use the Service.
Description of the Service
People Plan provides a software platform that assists HR, Finance, and Legal teams in planning, documenting, and executing workforce reductions in force (RIFs). The Service includes features for employee selection analysis, adverse impact testing, WARN Act compliance checking, OWBPA disclosure generation, severance document creation, and related workflow management.
People Plan is a software tool, not a law firm. The Service is designed to support your legal and HR teams — it is not a substitute for qualified legal counsel. Nothing in the Service constitutes legal advice. You are solely responsible for ensuring that any workforce action you take complies with all applicable laws, including federal and state employment laws.
We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time with reasonable notice.
Not legal advice
People Plan does not provide legal advice and is not a law firm. The compliance checks, document templates, calculations, and outputs produced by the Service are provided for informational and operational purposes only and do not constitute legal advice.
Employment law is complex, jurisdiction-specific, and subject to change. The thresholds, timelines, and requirements surfaced by the Service are based on publicly available information and are intended to assist — not replace — qualified employment counsel. You should always have a licensed employment attorney review any workforce action, including the documents and analyses produced by the Service, before execution.
People Plan expressly disclaims any liability arising from your reliance on the Service as a substitute for legal advice. By using the Service, you acknowledge and agree that you are responsible for engaging qualified legal counsel for your workforce actions.
Accounts and access
To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to notify People Plan immediately of any unauthorised access to or use of your account. People Plan will not be liable for any loss or damage arising from your failure to comply with this security obligation.
You may not share your account credentials with other individuals, allow multiple users to access the Service through a single account, or create accounts by automated means. Each authorised user within your organisation must have their own account under the terms of your subscription.
People Plan reserves the right to suspend or terminate accounts that violate these Terms or that are associated with fraudulent, abusive, or unlawful activity.
Acceptable use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service in any way that violates applicable federal, state, local, or international law or regulation;
- Upload data that you are not authorised to process or that violates the privacy rights of any individual;
- Use the Service to discriminate unlawfully against employees based on any protected characteristic;
- Attempt to gain unauthorised access to any part of the Service, other accounts, or systems connected to the Service;
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service;
- Introduce viruses, malicious code, or any other harmful material into the Service;
- Use automated scripts or bots to access or interact with the Service without our written consent; or
- Resell, sublicense, or otherwise commercially exploit the Service without our prior written consent.
Your data
You retain all ownership rights to the data you upload to or generate within the Service ("Customer Data"). By uploading Customer Data, you grant People Plan a limited, non-exclusive licence to access, process, and use that data solely as necessary to provide and operate the Service on your behalf.
You represent and warrant that you have all necessary rights, consents, and authorisations to upload Customer Data to the Service, and that doing so does not violate any applicable law or the rights of any third party, including the privacy rights of the employees whose data you process.
People Plan will not use Customer Data for any purpose other than providing the Service, will not sell Customer Data, and will not use employee demographic or selection data to train machine learning models.
You are responsible for maintaining appropriate backups of your Customer Data. People Plan is not responsible for any loss or corruption of Customer Data.
Intellectual property
The Service, including all software, algorithms, interfaces, designs, text, graphics, and other content created by People Plan, is owned by People Plan and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any ownership interest in the Service.
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service during the term of your subscription, solely for your internal business purposes, in accordance with these Terms.
Documents and outputs generated by the Service from your Customer Data (such as severance agreements and WARN notices) belong to you. The underlying templates, algorithms, and platform logic that produced them remain the intellectual property of People Plan.
People Plan respects the intellectual property rights of others. If you believe that content in the Service infringes your intellectual property rights, please contact us at hello@peopleplan.io.
Payment and subscriptions
Access to the Service requires a paid subscription. By subscribing, you agree to pay the fees described in your order or as displayed on our Pricing page. All fees are quoted in US dollars and are non-refundable except as expressly stated in these Terms.
Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time from your account settings or by contacting us at hello@peopleplan.io. Cancellation takes effect at the end of the current billing period; you will not be charged for the following period.
We reserve the right to change our pricing with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
Disclaimers and limitations
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF COMPLIANCE INFORMATION.
People Plan does not warrant that the Service will be uninterrupted, error-free, or that any defects will be corrected. Compliance thresholds, legal requirements, and regulatory information in the Service are provided on a best-efforts basis and may not reflect the most current legal developments in your jurisdiction.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL PEOPLE PLAN BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF PEOPLE PLAN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
PEOPLE PLAN'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS WILL NOT EXCEED THE FEES PAID BY YOU TO PEOPLE PLAN IN THE TWELVE MONTHS PRECEDING THE CLAIM.
Indemnification
You agree to indemnify, defend, and hold harmless People Plan and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your Customer Data or any data you provide to us; (d) your violation of any third-party rights, including employment or privacy rights; or (e) any workforce action you take based in whole or in part on outputs from the Service.
Termination
Either party may terminate these Terms at any time. You may terminate by cancelling your subscription and ceasing to use the Service. People Plan may terminate or suspend your access immediately if you breach these Terms, fail to pay fees when due, or if we are required to do so by law.
Upon termination, your right to use the Service ceases immediately. People Plan will retain your Customer Data for 90 days following termination, during which time you may request an export. After 90 days, your data will be permanently deleted, subject to any retention obligations described in our Privacy Policy.
Provisions of these Terms that by their nature should survive termination will survive, including intellectual property rights, disclaimers, limitations of liability, and governing law.
Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.
Before initiating any formal legal proceedings, you agree to first contact People Plan at hello@peopleplan.io and attempt to resolve the dispute informally within 30 days.
Changes to these terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and, where appropriate, by email. The "Last updated" date at the top indicates when the Terms were most recently revised.
Your continued use of the Service after any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
